Terms of Service
Effective Date: 28 September 2026
These Terms of Service ("Terms") govern access to and use of the Assistant platform and related services.
Assistant is operated by Ina Ete Financial Services (Private) Limited, a company registered in Zimbabwe.
By creating an account, accessing, or using Assistant, you agree to these Terms. If you are using Assistant on behalf of a company or other organisation, you represent that you have authority to accept these Terms on its behalf.
1. The Assistant Platform
Assistant is a business software platform designed to help businesses automate customer communication, sales, bookings, and day-to-day operations using AI-powered tools. It serves businesses across hospitality, retail, property management, and other service-based industries.
Depending on the subscription and configuration, Assistant may provide features including:
- Customer enquiry management
- Booking and reservation assistance
- Automated customer communications
- Telephone and text-based communications
- Customer question answering
- Lead and customer communication management
- Staff and operational task coordination
- Operational task management
- Promotional and marketing communications
- Customer information management
- Reporting and analytics
- Artificial intelligence-powered automation
- Integrations with third-party services
The features available to a customer may depend on the customer's subscription, configuration, location, and third-party integrations.
2. Accounts
To use certain Assistant features, a customer may be required to create an account.
Customers are responsible for:
- Providing accurate account information
- Maintaining the security of account credentials
- Restricting unauthorised access to their account
- Ensuring that users accessing their account are authorised
- Notifying Assistant promptly of suspected unauthorised access
Customers are responsible for activity occurring through their accounts unless caused by Assistant's unauthorised actions.
3. Business Responsibilities
Customers using Assistant are responsible for their own business operations and decisions.
This includes responsibility for:
- The accuracy of business information provided to Assistant
- Product, property, service, and pricing information
- Sales, appointment, order, and booking rules
- Cancellation policies
- Customer eligibility requirements
- Staff assignments
- Task, fulfilment, cleaning, and maintenance instructions where relevant
- Customer communications
- Marketing lists and permissions
- Compliance with applicable laws
- Obtaining any permissions or consents required to contact customers
- Reviewing and supervising automated actions where appropriate
Assistant provides technology and automation. It does not replace the customer's responsibility to manage its business.
4. Automated and AI-Powered Services
Assistant may use artificial intelligence to communicate with customers, answer questions, assist with leads, sales, bookings, and operations, generate responses, classify requests, summarise conversations, and perform other automated tasks.
AI-generated outputs may occasionally be inaccurate, incomplete, inappropriate, or based on incorrect information.
Customers are responsible for configuring the system appropriately and, where necessary, reviewing automated actions and information.
Customers should not rely exclusively on automated responses for matters requiring professional, legal, medical, financial, emergency, or other specialised judgment.
5. Telephone and Messaging Services
Where Assistant provides telephone, SMS, messaging, or related communication services, customers authorise Assistant to process and transmit communications on their behalf as necessary to provide the Services.
Customers are responsible for ensuring that their use of communication features complies with applicable laws, telecommunications requirements, marketing rules, and consent requirements.
Where call recording or similar functionality is enabled, the customer is responsible for providing any notices or obtaining any consent required by applicable law.
6. Sales, Bookings, and Reservations
Assistant may assist with creating, modifying, or managing leads, sales, appointments, orders, bookings, and reservations.
Unless expressly agreed otherwise, Assistant does not guarantee:
- Availability of a particular product, property, appointment, or service
- Accuracy of information supplied by a business
- That every sale, order, appointment, or booking request will be successfully completed
- That third-party sales, order, appointment, or booking systems will remain available
- That automated systems will never experience errors
The business remains responsible for honouring sales, orders, appointments, bookings, and reservations made through its systems and for resolving disputes concerning its products or services.
7. Staff and Operational Dispatch
Assistant may allow customers to create, assign, or dispatch operational tasks, including customer service, fulfilment, cleaning, and maintenance requests.
Customers are responsible for:
- Determining who is authorised to perform tasks
- Providing accurate instructions
- Ensuring appropriate access permissions
- Managing employee and contractor relationships
- Ensuring compliance with employment, health, safety, and other applicable requirements
Assistant does not become the employer, manager, contractor, or agent of a customer's staff merely because the platform facilitates task assignment or communication.
8. Marketing Communications
Assistant may allow customers to send promotional communications to their customers.
The customer is responsible for ensuring that promotional communications comply with applicable law and that the customer has any required permissions or consents.
Assistant may restrict or suspend marketing functionality where we reasonably believe it is being used unlawfully, abusively, or in violation of these Terms.
9. Customer Data
Customers may provide or upload information concerning their customers, leads, employees, contractors, suppliers, or other individuals.
The customer is responsible for ensuring that it has the appropriate rights, permissions, notices, and lawful basis required to provide such information to Assistant and to instruct Assistant to process it.
Assistant will process such information in accordance with the Privacy Policy and applicable agreements.
10. Third-Party Integrations
Assistant may integrate with third-party services, including sales and booking platforms, payment providers, communication providers, artificial intelligence providers, calendars, analytics services, and other business software.
Third-party services may have their own terms, fees, availability, and privacy policies.
Assistant is not responsible for the operation, availability, security, or performance of third-party services that it does not control.
A third-party service may change or discontinue its functionality, which may affect an integration with Assistant.
11. Fees and Subscriptions
Certain Assistant features may require payment of subscription or other fees.
Where applicable:
- Fees will be presented before purchase or subscription
- Subscription periods and billing arrangements will be specified at the time of purchase
- Customers are responsible for applicable taxes and charges
- Failure to pay applicable fees may result in suspension or termination of access
Refunds, where available, will be handled according to the applicable subscription or purchase terms presented to the customer.
12. Acceptable Use
Customers must not use Assistant to:
- Break the law
- Defraud or deceive other people
- Harass, threaten, or abuse individuals
- Send unlawful or unsolicited communications
- Obtain unauthorised access to systems or information
- Distribute malware or malicious code
- Interfere with the operation of Assistant
- Circumvent security or access controls
- Abuse communication or messaging systems
- Upload information that they do not have the right to process
- Use the platform for activities that create unreasonable security, legal, or operational risks
We may suspend or restrict accounts that violate these Terms or create significant risks to Assistant, its customers, or third parties.
13. Intellectual Property
The Assistant platform, software, design, trademarks, branding, documentation, and related materials are owned by or licensed to Assistant and are protected by applicable intellectual property laws.
Subject to these Terms and payment of applicable fees, Assistant grants customers a limited, non-exclusive, non-transferable right to access and use the Services during their subscription.
Customers retain ownership of content and information they provide to Assistant, subject to the rights necessary for Assistant to provide the Services.
14. Feedback
If you provide suggestions, ideas, recommendations, or other feedback concerning Assistant, you grant Assistant permission to use that feedback to improve its products and Services without compensation or restriction, provided that doing so does not disclose confidential customer information.
15. Service Availability
We aim to provide reliable Services but do not guarantee that Assistant will always be available, uninterrupted, or error-free.
Services may occasionally be unavailable because of:
- Maintenance
- Software updates
- Infrastructure failures
- Internet or telecommunications failures
- Third-party service outages
- Security incidents
- Events outside our reasonable control
We may modify, suspend, or discontinue features of the Services where reasonably necessary.
16. Disclaimer
To the extent permitted by applicable law, Assistant provides the Services on an "as is" and "as available" basis.
We do not guarantee that:
- The Services will meet every customer's requirements
- AI-generated information will always be accurate
- Automated communications will always be successful
- Sales, orders, appointments, or bookings will never contain errors
- Third-party integrations will always function
- The Services will be uninterrupted or completely secure
Customers remain responsible for their business decisions and for reviewing automated processes where appropriate.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Assistant and Ina Ete Financial Services (Private) Limited will not be liable for indirect, incidental, special, consequential, or punitive losses arising from the use of the Services, including loss of profits, revenue, business opportunities, data, or goodwill.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
Where permitted by law, Assistant's total liability arising from the Services will be limited to the amount paid by the customer to Assistant for the Services during the applicable period specified by law or the relevant agreement.
18. Indemnity
To the extent permitted by applicable law, customers agree to indemnify and hold harmless Assistant and Ina Ete Financial Services (Private) Limited from claims, losses, liabilities, damages, and reasonable expenses arising from:
- The customer's unlawful use of the Services
- The customer's violation of these Terms
- Information or content supplied by the customer
- The customer's failure to obtain required permissions or consents
- The customer's violation of applicable laws or third-party rights
19. Suspension and Termination
We may suspend or terminate access to the Services where:
- Fees remain unpaid
- The customer materially violates these Terms
- The customer's use creates a significant security or legal risk
- Required by law
- The customer engages in fraudulent or abusive activity
Customers may terminate their use of the Services according to the applicable subscription or account cancellation process.
Upon termination, access to the Services may cease and information may be deleted or retained in accordance with the Privacy Policy, applicable agreements, and legal obligations.
20. Changes to the Services
We may modify or update the Services from time to time, including adding, removing, or changing features.
Where a material change substantially affects a customer's use of the Services, we may provide reasonable notice where appropriate.
21. Changes to These Terms
We may update these Terms from time to time.
When we update them, we will change the Effective Date at the beginning of the Terms. Continued use of the Services after the updated Terms take effect constitutes acceptance of the updated Terms, subject to applicable law.
22. Governing Law
These Terms will be governed by the applicable laws of Zimbabwe, unless a separate written agreement between Assistant and a customer provides otherwise or applicable law requires another jurisdiction.
Any disputes will be subject to the jurisdiction of the courts applicable under Zimbabwean law, subject to any mandatory rights or dispute-resolution requirements that apply.
